OPL-AI.com and OPL-AI Software User Agreement

1. Purpose and Scope of the Agreement
This User Agreement ("Agreement") is made between the user ("User") who registers on the OPL-AI.com web platform and installs the OPL-AI software on their computer, and the legal owner of the OPL-AI.com platform and OPL-AI software, OPL-AI Software ("Software Owner").
1.1. This Agreement defines the terms and conditions of using the services provided through the OPL-AI.com website and OPL-AI desktop software, as well as the rights and obligations of the parties.
1.2. After being installed and linked with a license key, the OPL-AI software sends active process names and titles to the User’s OPL-AI.com account when the User clicks the "Start" button. Data transmission stops when the "Stop" button is clicked.
1.3. The Software Owner assumes no legal, criminal, or administrative liability for the content, accuracy, legality, or consequences of the data collected by the OPL-AI software. The User is solely responsible.
2. Definitions
Website: The website accessed via the domain OPL-AI.com
OPL-AI Software: A Windows-based desktop software integrated with the OPL-AI.com website that collects process data under the User’s control and sends it to the website.
User: Any real or legal person who registers on the website, purchases a license key, and/or uses the OPL-AI software.
License Key: A key provided by the Software Owner to the User that allows use of the OPL-AI software for a specific time and/or on specific computers.
Data: Active process names, titles, start/end times, durations, and project/user/location/company information selected by the User, all collected via OPL-AI software.
3. Membership and Licensing Terms
3.1. Creating Membership: The User can create an account by registering on the OPL-AI.com website. The User declares that all provided information (name, surname, email, phone number, IP address, etc.) is accurate, up-to-date, and complete.
3.2. License Key Purchase: To use the OPL-AI software, the User must purchase a license key through the website. Purchased license keys are linked to the User’s OPL-AI.com account.
3.3. Installation and Licensing of OPL-AI: The User can install the software on desired Windows-based computers. To begin data collection, the software must be linked to a valid license key and the User must initiate data flow.
3.4. Multi-User Usage: The User can install the software on other users’ computers using their license key. In this case, the license holder is solely responsible for managing data flow, informing related individuals (according to KVKK/GDPR), and ensuring legal compliance.
4. Nature of the Service and User Responsibilities
4.1. Data Collection and Control: The software only sends active process names, titles, and durations to the OPL-AI.com servers when the User clicks the "Start" button. Clicking "Stop" ends data transmission...
4.2. Data Usage: OPL-AI.com uses data collected via the software to generate process, effort, and analysis reports for the license owner’s account. These reports are enhanced by AI models and presented to the User.
4.3. Purpose of Use: Services are provided to track computing activities, efforts, and project-based work durations. The User agrees to use the services legally and in good faith, taking full responsibility.
4.4. Illegal Use: The User may not use the service for illegal, unauthorized, or rights-infringing purposes. The User is solely liable for any unlawful collection, use, or sharing of third-party data.
4.5. Account Security: The User is solely responsible for the confidentiality and security of their account credentials. The User bears all consequences of unauthorized use.
5. Software Owner's Disclaimer
5.1. The Software Owner does not guarantee or warrant the legality, accuracy, completeness, or currency of any data collected by OPL-AI software.
5.2. The Software Owner is not responsible for processing, storing, or sharing collected data, or for compliance with laws such as KVKK, GDPR, etc. All responsibility belongs to the User.
5.3. The User irrevocably agrees that the Software Owner shall bear no liability, criminal or administrative, related to software usage or data collection.
6. Data Security and Privacy
6.1. OPL-AI only transmits data to the User’s own account. The Software Owner takes necessary technical and administrative security measures (password-protected databases, SSL encryption, etc.).
6.2. The Software Owner has no obligation to monitor, process, or permanently store user data and is not liable for data loss, unauthorized access, or related issues. The User is also responsible for data security.

7. Service Interruptions and Limitation of Liability
7.1. The Software Owner does not guarantee uninterrupted or error-free operation. It is not liable for interruptions due to technical issues, maintenance, updates, or force majeure (natural disasters, cyberattacks, war, etc.).
7.2. The Software Owner is only liable for damages arising from breach of obligations under this Agreement if intentional misconduct or gross negligence is proven, and even then, liability is limited to the license fee paid.
8. Termination of the Agreement
8.1. If the User violates the Agreement, applicable laws, or good faith principles, the Software Owner may suspend or permanently terminate the User’s account and licenses without notice.
8.2. The User may request account termination at any time. In such case, data will be deleted according to the retention periods stated in our Data Protection Policy.
9. Intellectual Property Rights
9.1. All content, software, design, source code, and intellectual property rights (copyrights, trademarks, patents, trade secrets, etc.) of OPL-AI.com and OPL-AI software belong to the Software Owner.
9.2. The User may not violate, copy, reproduce, distribute, reverse engineer, or create derivative works from the Software Owner’s intellectual property, except as expressly permitted.
10. Governing Law and Jurisdiction
This Agreement shall be governed by the laws of the Republic of Türkiye. Any disputes shall be resolved by the courts and enforcement offices of İstanbul.
11. Other Provisions
11.1. The Software Owner may unilaterally amend this Agreement. Amendments become effective on the date they are published on the website. The User is responsible for regularly reviewing the updated terms.
11.2. If any provision of this Agreement is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
Consent Statement
By registering to the OPL-AI.com platform and installing/using the OPL-AI software, I declare that I have read, understood, and accepted all the terms of this Agreement. I acknowledge that I accept all responsibilities for the legality and consequences of the data collected via the software.
